Sofitel Residences Madero (“Project”) is not owned, developed, or sold by AccorHotels Argentina S.A. (“Licensor”) or its affiliates. ITC Fiduciaria S.A., as Trustee of Fideicomiso Juana Manso 474, and TPM Dique Cuatro S.A. (collectively, “Licensee”) are independently owned and operated and are solely responsible for the ownership, development, and operation of the Project. The Licensee uses the Sofitel brand and certain trademarks pursuant to a limited, non-exclusive, non-transferable, and non-sublicensable license granted by the Licensor. Under certain circumstances, the license may be terminated or revoked in accordance with its terms; in such a case, the Project shall not have the right to use the Sofitel brand or Sofitel trademarks. For the avoidance of doubt, no owner of residential units (“Units”) has the right to use the Sofitel brand or has any rights to use the Sofitel trademarks. Licensor makes no representations or guarantees regarding the Units or the Project and is not responsible for Licensee’s marketing practices, advertising, or sales representations.
